Need to check DDR voltage in the M.I.T. Section of the BIOS
Your memory is rated at 1.8 ~2.0 volts. Since your memory is running unstable at 1.8v default try upping it to 2.0v.
Go to the M.I.T. section/DDR Overvoltage and set to +.20.
Same section, for Standard DRAM Timings Selectable on AUTO might read 5-7-7-24 top (to bottom) in blue. If on Manual you can keep 5-7-7-24(loose - slow) with separate timings on AUTO or change to 5-5-5-15 (tighter - faster) manually.
Same with Advanced DRAM Timings. Recommend you leave on AUTO for now.
Motherboard should be automatically adjusting timings for first boot (loose) so I doubt that is causing your errors in MemTest. However motherboard may not always adjust voltage properly so you'll need to manual increase the voltage to 2.0 to match the upper spec voltage since you are experiencing problem with 1.8.
If still experiencing errors in MemTest increast MCH voltage +.01~.02.
If voltage increases don't help and still keep getting memory errors, the memory modules might be defective, which is very rare with G-Skill. They are considered the best along with Mushkin.

But yes, that ram will work in your board for sure. You may want to run memtest86+ on them one stick at a time in slot one, with manually set main timings, stock Voltage and speed to be sure you did not get a DOA stick

DavidDavisLeeSomething, thanks for your help, unfortunately Memtest still hangs. I think I followed everything in your post, but may have made a mistake.
Anyway, Lsdmeasap if you could post the full settings, that would be great.
I did try each stick individually and both hung so either both are bad or there is a setting I'm missing. Or I have a bad motherboard or CPU.
When I get home from work tonight, I'll try this memory in my Shuttle PC as well as try that comupter's memory in my new Gigabyte PC.

Well, when testing ram one by one for DOA sticks you should set Auto for most things, except main timings and memory multi, and of course ram voltage. If they fail, then they are likely DOA, but you are right one setting in Auto could be to blame (As Auto is never suggested for anything other then this) So since you can please do test them one by one in another system at stock speed, timing and voltages
P45 does take some tweaking for sure to get going at first, especially once you start to try to manually set things.

Lsdmeasap, thanks again for your help.
I tried the settings you suggested and no go. I also tried using 4 GB (2x2 GB) of Corsair XMS memory from my other machine and they failed as well (they passed fine in my Shuttle PC).
I think at this point I'm just going to RMA the motherboard and try something else.

Well, the board is fine, you just have to try harder to get your ram started. The G.Skill is best for your board
How far did you get, have you got it to boot to windows at all. What all did you try?
P45 does take a bit more tweaking then P35, but it is for sure a nice performer once you get started
If you RMA good luck with what you decide on
Your board does run fine with voltages set, and ram in Auto right? If not it may be broke and you possibly should RMA it. But if it works like that, you just have to spend some quality time with it to get it going initially manually
