anyway, the question is can i mount Scythe Ninja (without fans) on GA-M57SLI-S4 without some major interfearances with MB components?

It's support Socket AM2, so you can use it in GA-M57SLI-S4, but suggest you use it with fan.

I THINK IT IS STILL OK.
The heat pipe under the cooler will not interfear with your ram.
